Consulting engineering firm Jacobs and Amentum have entered into a definitive agreement to combine Jacobs' Critical Mission Solutions (CMS) and cyber and intelligence government services businesses with Amentum, creating a new business in government services.
The combined company will have annual revenues of approximately $13 billion. Jacobs and its shareholders will own 58.5% to 63% of the business.
“As part of a more focused, independent, public company, the CMS and Cyber and Intelligence Solutions teams will have both the breadth and depth of capabilities across a more diversified portfolio, positioning them for continued success. We believe that,” said Bob Pragada, CEO of Jacobs.
Jacobs first announced its intention to separate its CMS business in May. The new agreement follows a comprehensive review of various options, including inquiries arising from that announcement, and allows Jacobs to retain its data solutions and digital technology businesses.
“Our combined company will offer extensive expertise in energy, space exploration, intelligence, analytics and digital modernization,” said Amentum CEO John Heller. “We look forward to a strong team unity and a bright future.”
The combined company's board of directors will initially include an equal number of directors appointed by Jacobs and Amentum. Members of the senior management team will also be selected from both companies and announced as integration plans progress.
